Terms of Service
Last updated: 27 October 2026
These terms apply to the Nexus Agents service. A signed engagement letter or service agreement takes precedence over anything on this page.
1. The service
We configure and operate AI agents that perform a defined review workflow over documents you supply, and return a structured draft output. The scope of a workflow — document types, checklist, output format and included volume — is stated in the engagement documents. Anything not stated there is out of scope.
2. Output is a draft, not professional advice
Every output is a draft prepared for review by a qualified professional at your firm. It is not legal, tax, audit, accounting or consulting advice, and it must not be delivered to a client or relied upon until a qualified person at your firm has reviewed and approved it. Responsibility for the professional work product, and for the advice given to your clients, remains with your firm.
3. Your responsibilities
- You have the right to send us the documents you send us, and doing so does not breach any duty of confidence owed to a third party beyond what the engagement permits.
- You will not send material subject to a restriction that our engagement does not cover. If a document cannot be shared, tell us and we will work from an anonymised version.
- A named person at your firm owns the workflow on your side and performs the review step.
- You will not attempt to extract model weights, prompts or evaluation data from the service.
4. Fees and payment
Fees are stated in the engagement documents and, unless agreed otherwise, are invoiced monthly in advance. Pilots are invoiced on commencement and are credited against the first month of ongoing service if you continue. Invoices are payable within 30 days. Fees exclude applicable taxes. If a volume ceiling is exceeded we will tell you the overage rate before running additional work.
5. Availability and changes
We target availability during your business hours but do not offer a service level credit unless one is signed in the engagement. We may change the underlying model or infrastructure at any time provided the configured workflow continues to meet the accuracy standard agreed for your engagement.
6. Confidentiality
Each party will keep the other's confidential information confidential and use it only for the engagement. We restrict access to your material to the engineers assigned to your engagement. Our obligations survive the end of the engagement.
7. Intellectual property
You retain all rights in your documents. We retain all rights in the agents, prompts, checklists, evaluation sets and tooling we build, including improvements made while working for you. You own the outputs generated for you and may use them freely within your firm. We will not reuse your documents or outputs to build or improve a workflow for another firm.
8. Liability
To the extent permitted by law, our aggregate liability under an engagement is limited to the fees paid by you in the twelve months preceding the claim. Neither party is liable for indirect or consequential loss. Nothing in these terms limits liability for fraud, death or personal injury, or any liability that cannot lawfully be limited.
9. Term and termination
Ongoing service runs month to month unless the engagement states a term. Either party may end it with 30 days' written notice. We may suspend the service immediately if fees are overdue by more than 30 days. On termination we return or delete your documents as you instruct and confirm it in writing.
10. Governing law
The engagement is governed by the law stated in the engagement documents. Where none is stated, the governing law is that of the jurisdiction in which the contracting entity is registered.
11. Contact
These terms are a plain-language summary of our standard commercial position and are not legal advice to you. Your own counsel should review the signed engagement documents.
